| These regulations (the “Regulations”) cover admission to courses provided by the Kenichi Ohmae Graduate School of Business (the “University”) as well as use of the services offered in connection with these courses. Please read them carefully and submit your application only after fully understanding the content thereof. |

Eligibility
Your eligibility to take courses will commence after you have filled in the necessary information on the web-based application form, and have paid the tuition fees.
|
 |
| Application |
| 1)
|
To apply for courses, fill in the necessary information on the web-based application form. Your application will be considered submitted from the time that it is received by our administrative office.
|
| 2) |
In principle, applications for courses must be made at least one week before the course begins, except that courses will be closed for further enrollment as soon as the student limit for the course is attained. |
| 3) |
The University will not be liable
if students are unable to take a
course after enrollment due to incompatible
or insufficient computer system or
for any other reason |

Restrictions on Eligibility
The administrative office may immediately
remove a person from a course or prohibit
attendance at the University if any of
the following occur. No refund of tuition
fees or other costs will be given in
these circumstances. |
| 1)
|
Acts that interfere with the progress
of a course or that cause inconvenience
to other students; |
| 2) |
Use of course facilities for personal
advertising or financial gain including
sales or soliciting without consent; |
| 3) |
Recording of course content or copying of course materials; |
| 4) |
Lending or furnishing of content or materials of a course to another person; or |
| 5) |
Otherwise causing significant injury to the reputation of the University. |

| Cancellation or Suspension of a Course, or Course Change |
| 1) |
Courses are conducted in groups of a certain number of students in order to achieve learning synergies. Courses may be rescheduled for the next enrollment period if a sufficient number of students have not enrolled, or due to other unavoidable circumstances. |
| 2) |
The decision to cancel a course may be made any time up to two weeks prior to the first class session |
| 3) |
Classes may be taught by a substitute
lecturer, or particulars such as
the date or content of a lecture
may be changed at the discretion
of the lecturer. |
| 4) |
The University shall not have any
liability for services that are suspended
as a result of natural disaster,
insurrection, war, riot, labor dispute,
rain or other weather condition,
or other event in the nature of a
force majeure for which the University
cannot be held responsible. |

| Tuition Fees |
| 1) |
The University shall not refund any tuition fees that have been paid unless the University has suspended a course at its own discretion. |
| 2) |
In principle, all tuition fees must be paid in advance, however installment payment plans may be available when paying by credit card. For details please contact the administrative office. |
| 3) |
Students may use the wire transfer statement issued by the financial institution, or credit card statement as a receipt. |
| 4) |
Bank transfer charges shall be the responsibility of the student. |
| 5) |
After an application is made, the University will issue an invoice statement. Students must make payment by the due date stated in the statement. Interest at a rate of 14.5% per year will be charged in the event of delinquency in payment. |

Changes to Student Information
Please notify the administrative office of any changes that will or have been made to the information provided to the University. The University will not be responsible for any adverse consequences incurred by a student as a result of failure to make the notification.

| Nondisclosure in Use of Content or Creative Work |
| 1) |
Students are prohibited from conveying the curriculum content, text, or information that they have learned in courses concerning the curriculum content to any person other than a participant in the course, whether during the period of the course or after it has completed. |
| 2) |
Students are prohibited from using the curriculum content, texts or distributed materials for other purposes, or copying the same, without permission. |
| 3) |
Visual or audio recording of lectures or duplication or diversion of materials is strictly prohibited |
| 4) |
In some cases materials submitted by students will be disclosed to other participants for instructional purposes. Please handle any legal protection concerning particular expertise or business secrets as your own liability. The University will not take any responsibility for these matters. |

Disclaimer
The University makes no warranty of the accuracy, completeness or usefulness of any of the following information, and shall not have any liability for any damage that you may incur as a result thereof:
|
| 1) |
Values, projections, opinions, advice, evaluations or other information provided by a lecturer or an assistant; |
| 2) |
Values, projections, opinions, advice, evaluations or other information included in texts or reference materials; |
| 3) |
Values, projections, opinions, advice, evaluations or other information that may be uploaded by any other user of the instructive services; and |
| 4) |
Personal names, titles, personal history, name or history of any association, addresses, telephone numbers, facsimile numbers URLs, or email addresses that may be included in any of the information of the foregoing. |

Protection of Personal Information
The University will not use personal information of a student that has been obtained in connection with services, beyond that which is required to offer the Use of Services, with the exception of the following:
|
| 1) |
If the University sends email addresses to a student for the purpose of providing information; |
| 2) |
The providing of personal information for the purposes of subcontracting work that is necessary in order to offer the Use of Services, to a subcontractor who incurs an obligation under contract or the like to manage the personal information in an appropriate manner; |
| 3) |
Compilation and analysis, etc., of personal information for purposes such as improving the service in the Use of Services; |
| 4) |
Disclosing or providing results that have been obtained from the compilation and analysis, etc., of the preceding clause, to a business partner, etc., in a form in which individuals cannot be identified; |
| 5) |
Sending of email, etc., to a student for the purpose of obtaining consent to the use of personal information; |
| 6) |
Otherwise disclosing or using personal information after obtaining voluntary consent from the student; or |
| 7) |
Disclosure in compliance with a warrant issued by a court or a determination by a court. |

| Use of the PC & Internet Service provided by the Kenichi Ohmae Graduate School of Business (hereinafter the “University”) must comply with these Guidelines (the “Regulations”). Please read them carefully and submit your application only after fully understanding the content thereof. |

| Article 1. Scope |
| (1) |
These Regulations shall apply in connection with use of the PC & Internet Services (the “Use of Services”) offered by the University. |
| (2) |
The separately prescribed Regulations on Matriculation will apply as a precondition to the Use of Services. |
|
 |
Article 2. Amendment of Regulations The University may unilaterally amend the content of these Regulations. Notices of amendment will be made to Subscribers by email transmission or by announcement on the website, stating a certain period of advance notice. |

Article 3. Definition of Terms
The following terms in these Regulations shall have the respective meanings prescribed hereunder:

| (1) |
“PC & Internet Services” shall mean the viewing by Subscribers of the Services offered by the University, by means of a personal computer and the internet. |
| (2) |
“Subscriber” shall mean a person to whom the University allows the Use of Services. |
|
 |
Article 4. Conditions for Use of Software
When using software that has been furnished by the University in connection with the Use of Services, Subscribers shall comply with the terms of use that the University shall separately prescribe in connection with the software.

Article 5. Support Period
The period of support in use shall be one month from the start of enrollment. Please begin use after confirming normal operation promptly after enrollment.

| Article 6. User ID and Password |
| (1) |
The Use of Services may require a user ID or Password issued by the University. |
| (2) |
Subscribers are prohibited from allowing any third party to use the Subscriber’s user ID or password, or from selling, giving or lending the same. |
| (3) |
Subscribers must exercise sufficient care to prevent unauthorized use of their user ID or password by a third party. The University shall not have any liability even if a Subscriber or a person other than the Subscriber incurs any damage as a result of use of a user ID or password. |

| Article 7. Changes to Subscriber Information |
| (1) |
A Subscriber shall promptly take the procedures to update his or her registration with the University if any change has occurred in the Subscribers name, contact telephone number email address or user ID. |
| (2) |
The University shall not have any liability for any adverse consequences that a Subscriber incurs as a result of a violation of the preceding paragraph. |

| Article 8. Assignment of Rights |
| (1) |
Eligibility for the Use of Services shall be restricted only to the Subscriber himself or herself. |
| (2) |
Subscribers are not permitted to assign there eligibility or offer their eligibility as collateral to any third party. |
|
 |
| Article 9. Eligibility as a Subscriber |
| (1) |
A Subscriber shall immediately lose eligibility as a Subscriber from the time that the individual no longer satisfies the requirements to be a Subscriber as prescribed in advance by the University. |
| (2) |
The same shall apply in cases where it is subsequently discovered that the individual did not satisfy the requirements from the beginning. |
|

Article 10. Suspension of Use
The University may suspend the Use of Services without any liability if any of the following occur:
|
| (1) |
If the University determines that it cannot offer normal services because of a significant load or impediment; |
| (2) |
If operation of the system in association with the Use of Services, is discovered to present the possibility of significant injury to Subscribers; |
| (3) |
If unavoidable for the purposes of maintenance or work on equipment; or |
| (4) |
In the event of a natural disaster, insurrection or other emergency situation. |

Article 11. Prohibitions
Subscribers are prohibited from committing any of the following in the course of the Use of Services:
|
| (1) |
Unauthorized use of another Subscriber’s
user ID or password; |
| (2) |
Volating the copyright or other
intellectual property right of another
Subscriber, the University or a third
party; |
| (3) |
Slandering, libeling or injuring
the name or reputation of another
Subscriber, the University or a third
party; |
| (4) |
Interfering with the use or maintenance
of the equipment of a Subscriber
or a third party, or the equipment
for the Services; |
| (5) |
Any other act that obstructs operation
of the Services; or |
| (6) |
Any act that otherwise violates
law or regulations, or public morals. |

| Article 12. Action in the Event of Violations |
| (1) |
A Subscriber may be expelled from the University if the Subscriber violates any of the provisions of Article 4, Article 6, Article 8 or the preceding Article. Expulsion in this case shall mean the loss of any tuition fees already paid, and the Subscriber shall be required to pay immediately in full any outstanding tuition fees to the University, and thereafter will not be permitted to participate in or attend any course sessions at the University. |
| (2) |
In addition action may be taken under civil or criminal law. |

| Article 13. Changing, Addition to or Abolishing the Content of Services Provided |
| (1) |
The University may change, make additions to or abolish the content of the offering of the Use of Services. In this event Article 2 shall apply mutatis mutandis. |
| (2) |
Tuition fees shall not be refunded even if the content of the Use of Services is changed or abolished, provided that if the cause is entirely on the part of the University, the University will accommodate refund demands. |
|

Article 14. Liability for Usage Environment
The Subscriber shall at the Subscriber’s own liability provide his or her own environment for use of the Services, including but not limited to a personal computer, internet connection and software with the necessary performance capabilities.

| Article 15. Principle of Personal Responsibility |
| (1) |
The Subscriber shall carry out the Use of Services including management and control of data that is recorded or stored on the server that is to be provided pursuant to the Services, with the understanding that this is a service that is offered over the internet communications network, and that by its nature there is a risk of, inter alia, loss, alteration or destruction of data. |
| (2) |
The Subscriber shall at his or her own liability and expense handle any claim from a third party in the event that the Subscriber causes any damage to a third party through the Use of Services. |
| (3) |
The preceding paragraph shall also apply in the event that a Subscriber incurs damage from a third party or has made a complaint against a third party in association with the Use of Services. |
| (4) |
The Subscriber shall be liable to compensate the University for any injury that the University incurs as a result of the willful intent or negligence of the Subscriber. |

Article 16. Disclaimer
The University makes no warranty and has no liability in connection with any of the following:
|
| (1) |
Whether the Service will be consistent with any specific objective of the Subscriber, or will have the anticipated performance; |
| (2) |
Destruction or loss of data as a result of a system overload or system failure; |
| (3) |
Deletion, destruction or loss of data as a result of a cause such as a change of the system, or amendment or cancellation of grades; |
| (4) |
Providing of the services after the period of Use of Services; and |
| (5) |
Inspection of information content that the Subscriber provides through the Use of Services by the Subscriber. |

Article 17. Governing Law
These Regulations shall be governed entirely by the law of Japan.
|
 |
Article 18. Consent Jurisdiction
The Tokyo District Court shall be the agreed court of exclusive jurisdiction over the first instance of any suit between the Subscriber and the University.
|
 |
Article 19. Consultation
Both parties shall discus and determine matters that are not set forth in these Regulations.
